These Terms of Use (“Terms”) govern access to and use of the websites www.fsgparts.com and www.fsgi.ca (collectively, the “Websites”) operated by Food Service Group International Inc. (“FSG,” “we,” “us,” or “our”). By accessing or using our Websites, you agree to be bound by these Terms and all applicable laws and regulations in Canada. If you do not agree to these Terms, do not access or use the Websites.

2. Scope and Application

These Terms apply to all users of the Websites, including but not limited to customers, suppliers, vendors, business partners, and visitors. The Websites are intended for individuals and entities conducting business with or seeking information about FSG’s products and services, including commercial foodservice equipment, replacement parts, consumables, and related goods.

3. Use of the Websites

You agree to use the Websites solely for lawful purposes and in accordance with these Terms. You must not:

• Use the Websites in any manner that could disable, damage, or impair the Websites or interfere with any other party’s use.
• Attempt to gain unauthorized access to any portion or feature of the Websites, servers, or systems connected to them.
• Use automated systems (including bots, crawlers, or scrapers) without express written permission from FSG.
• Use the Websites or any content therein for any commercial resale or redistribution without prior written authorization.

4. Intellectual Property Rights

All content, materials, text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software appearing on the Websites are the property of Food Service Group International Inc., its licensors, or its suppliers, and are protected by Canadian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Websites for legitimate business or informational purposes. No right, title, or interest in any content or material is transferred to you under these Terms.

Unauthorized reproduction, modification, distribution, or republication of any materials from the Websites is strictly prohibited.

5. Product Information and Pricing

FSG strives to ensure that product descriptions, pricing, and availability information on the Websites are accurate. However, FSG does not guarantee that such information is free of errors or omissions.

All prices are displayed in Canadian Dollars (CAD) and are subject to change without notice. FSG reserves the right to correct any inaccuracies, cancel orders, and update product information at any time without prior notice.

6. Orders and Payments

All orders placed through the Websites are subject to acceptance by FSG. FSG reserves the right to refuse or cancel any order at its discretion, including cases involving inaccurate pricing, suspected fraud, or supply limitations.

Payments must be made in full in Canadian Dollars (CAD) using approved payment methods. By submitting an order, you authorize FSG and its payment processors to process the applicable payment in accordance with Canadian banking and payment laws.

7. Shipping and Delivery

All goods are shipped from FSG’s designated distribution centres within Canada unless otherwise noted. Risk of loss passes to the purchaser upon shipment. Delivery times are estimates and not guaranteed.

FSG is not responsible for delays caused by customs, carriers, acts of nature, or other factors beyond its control.

8. Returns, Warranties, and Limitations

Return and warranty policies are governed by FSG’s Warranty and Return Policy, available upon request.

Except as expressly provided in writing, all products and services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by Canadian law, FSG shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Websites or the purchase of any products or services.

9. Privacy and Data Protection

FSG respects your privacy and complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.

Information collected through the Websites is governed by our Privacy Policy, which forms part of these Terms. By using the Websites, you consent to the collection, use, and disclosure of your information as described therein.

The Websites may contain links to third-party websites or resources. These links are provided solely for your convenience and do not imply endorsement by FSG. FSG is not responsible for the content, accuracy, or policies of third-party websites.

11. Limitation of Liability

To the fullest extent permitted by law, Food Service Group International Inc. and its affiliates, directors, officers, employees, agents, and representatives shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of (or inability to use) the Websites or any products or services purchased therefrom.

12. Indemnification

You agree to indemnify and hold harmless Food Service Group International Inc., its officers, directors, employees, and affiliates from and against any claims, losses, damages, liabilities, including legal fees, arising out of your use of the Websites, violation of these Terms, or infringement of any rights of a third party.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

14. Modification of Terms

FSG reserves the right to modify or update these Terms at any time without prior notice. The revised Terms will take effect immediately upon posting to the Websites. Continued use of the Websites constitutes acceptance of the modified Terms.
